Article 1 - Definitions
Participant
Any natural person who enters into an agreement with Lead Out Gym.
The Leaders B.V.
The private limited company The Leaders B.V., with its statutory seat in Utrecht and registered office at Herculesplein 373, 3584 AA Utrecht, operating under the trade name Lead Out Gym.
Participant Agreement
The agreement concluded via the website between The Leaders B.V. (operating as Lead Out Gym) and a Participant, whereby these Terms & Conditions are accepted.
Personal Data
All data provided by the Participant to Lead Out Gym as stated in the Participant Agreement.
Article 2 - Applicability
2.1 These Terms & Conditions apply to all legal relationships between The Leaders B.V. (operating as Lead Out Gym) and any Participant. The Participant has been able to read and download these Terms & Conditions and has accepted them by ticking the acceptance box prior to payment. Any general terms and conditions of the Participant are expressly excluded.
2.2 These Terms & Conditions are also stipulated for the benefit of all directors of The Leaders B.V. and all persons working for or engaged by Lead Out Gym.
2.3 Deviations from these Terms & Conditions are only valid if expressly agreed in writing.
Article 3 - Participant Agreement
3.1 The Participant Agreement is concluded at the moment the Participant completes the registration form on the website, accepts these Terms & Conditions, and completes payment. The agreement is entered into for an indefinite period and may be terminated in accordance with Article 7, unless it concerns a day pass, yearly membership, trial pass, or class card.
3.2 The Participant Agreement and these Terms & Conditions together constitute the complete agreement and supersede all previous written or oral agreements or communications.
3.3 The Participant is responsible for providing all information reasonably required for the proper execution of the Participant Agreement.
3.4 The Participant Agreement is personal and non-transferable.
3.5 The Participant may revoke the Participant Agreement within fourteen (14) days after entering into it.
3.6 In case of revocation, all payments will be refunded unless the Participant has already used the facilities or entered the location.
3.7 If the Participant purchases additional products or services, these Terms & Conditions remain fully applicable unless agreed otherwise in writing.
3.8 Lead Out Gym reserves the right to unilaterally amend these Terms & Conditions and will notify Participants by email.
Article 4 - The Participant
The Participant meets the following requirements:
- The Participant is 16 years of age or older, or younger than 16 years of age and participates exclusively in Open Gym, under the direct supervision and responsibility of a parent or legal guardian, who must be present during training and has given prior consent. Participants under 16 years of age are not permitted to take part in group training.
- The Participant follows all instructions given by Lead Out Gym staff.
- The Participant behaves appropriately and respectfully within the gym.
- By entering the gym and/or participating in any training or activity, the Participant declares and acknowledges that they are in good physical and mental health and sufficiently fit to participate in sports and fitness activities. Participation takes place entirely at the Participant's own responsibility.
Lead Out Gym reserves the right to refuse access to Participants at any time, without stating reasons.
Article 5 - Prices and Payment
5.1 Membership fees must be paid in advance. Lead Out Gym uses the services of Gymly B.V. for payment processing.
5.2 By accepting these Terms & Conditions, the Participant authorizes Gymly to collect membership fees via automatic debit.
5.3 If automatic debit fails, Gymly will attempt collection again after 14 days. If unsuccessful, a payment link will be sent. Failure to pay may result in immediate cancellation or suspension, and outstanding amounts may be collected via an external agency.
5.4 All collection costs will be recovered from the Participant.
5.5 Lead Out Gym reserves the right to change or index prices and rates.
Article 6 - Class Registration, Cancellation & No-Show Policy
6.1 Participants must register for classes via the Gymly system. Participation without registration is not permitted.
6.2 Classes may be cancelled up to 6 hours prior to the start time. Late cancellations or no-shows result in the loss of one class credit.
6.3 No-Show & Late Cancellation Policy
If a Participant incurs more than one no-show or late cancellation within a calendar month, without a valid and timely explanation accepted by Lead Out Gym, a €10 fine will be imposed from the second occurrence onward. This fine will be added to the regular membership fee.
Article 7 - Termination, Pause & Changes to Membership
7.1 Most memberships are offered on a four-weekly basis, except for day passes, yearly memberships, trial passes, and class cards.
7.2 Four-weekly memberships may be terminated in writing with a four (4) week notice period, starting after the current period has ended.
7.3 Lead Out Gym will confirm termination within fourteen (14) days. If no confirmation is received, the Participant must contact Lead Out Gym immediately.
7.4 If termination is confirmed after contact, the current period must still be completed before the notice period begins.
7.5 In cases of long-term illness, injury, or pregnancy, the membership may be temporarily suspended upon consultation and submission of a medical certificate.
7.6 Membership Pause (Freeze)
7.6.1 A membership may be paused up to two (2) times per calendar year.
7.6.2 Each pause must last at least two (2) weeks and no longer than twelve (12) weeks.
7.6.3 A pause must be requested in advance. Retroactive pause requests will not be accepted.
7.6.4 If payment has already been made for the paused period, the next payment date will be postponed accordingly.
7.6.5 A membership pause does not suspend, shorten, replace, or absorb the four (4) week notice period. If a cancellation is submitted during a pause, the notice period will still apply and any unpaid weeks will be added after the pause ends. A pause may not be used to avoid payment obligations.
7.7 Upgrade & Downgrade of Membership
7.7.1 Participants may request an upgrade or downgrade by contacting Lead Out Gym.
7.7.2 Upgrades may take effect immediately (after remaining credits are used) or at the end of the current period. Upgrading from a yearly membership starts a new yearly term.
7.7.3 Downgrades take effect only at the end of the current period. Downgrades from yearly memberships are only possible to four-weekly memberships or after the yearly term has ended.
7.7.4 Termination always remains subject to the four-week notice period.
7.8 Lead Out Gym may terminate the agreement immediately in cases of misconduct, repeated rule violations, or misuse of membership access.
Article 8 - Risk and Liability
8.1 Lead Out Gym is only liable for defects in its facilities or services and only to the extent covered by insurance.
8.2 Training and use of facilities are entirely at the Participant's own risk.
8.3 Participants are responsible for assessing their own physical condition and must disclose relevant medical conditions before participating in training sessions.
8.4 Lead Out Gym and its staff are not liable for injuries, medical incidents, or health complications (including, but not limited to, heart attacks, fainting, or other acute medical events), unless such damage is the direct result of intent or gross negligence on the part of Lead Out Gym.
8.5 Lead Out Gym is not liable for loss, theft, or damage to personal property.
8.6 Participants are liable for damage caused by negligence.
8.7 Liability limitations also apply to all persons engaged by Lead Out Gym.
Article 9 - Personal Data & Privacy
9.1 Participants provide personal data such as name, address, and email.
9.2 By accepting these Terms, Participants consent to data processing for administrative and service-related purposes.
9.3 Data is processed in accordance with GDPR and the Lead Out Gym privacy policy.
Article 10 - Complaints Procedure
10.1 Complaints may be submitted via info@leadoutgym.nl and will be acknowledged within one week.
10.2 Complaints will be investigated by management.
10.3 A written response will be provided within six weeks.
Article 11 - Applicable Law and Jurisdiction
11.1 These Terms & Conditions are effective as of 23 December 2025.
11.2 Invalid provisions do not affect remaining provisions.
11.3 Dutch law applies. All disputes shall be settled exclusively by the competent court in Utrecht.
